Terms of Service

These Terms of Service (the "Terms") govern your use of StatOasis websites, newsletters, communities, memberships, courses, research publications, model portfolios, trading signals, digital downloads, books, software, code, tools, and other products or services offered by StatOasis (collectively, the "Services").

StatOasis is the commercial business name under which a federally incorporated Canadian corporation operates from Ontario, Canada. In these Terms, "StatOasis," "we," "us," and "our" refer to that corporation acting under the StatOasis name.

By accessing or using the Services, creating an account, joining a membership, or purchasing a product, you enter into an agreement with StatOasis and agree to these Terms and any product-specific terms presented to you at the time of purchase.

If you do not agree, do not use or purchase the Services.

1. About StatOasis

StatOasis is the commercial business name under which a federally incorporated Canadian corporation operates from Ontario, Canada. StatOasis publishes educational material, quantitative research, trading and investing education, standardized market publications, courses, tools, communities, and related products and services.

All Services are offered, sold, licensed, published, and provided by StatOasis in its corporate capacity.

StatOasis conducts its customer communications primarily by email.

2. Corporate capacity and personal liability

All Services are offered and provided by StatOasis in its corporate capacity.

No shareholder, director, officer, employee, contractor, agent, or representative of StatOasis is a party to these Terms in a personal capacity merely because that person owns, manages, operates, communicates for, publishes for, or performs services on behalf of StatOasis.

To the maximum extent permitted by applicable law, contractual claims arising from or relating to these Terms or the Services are claims against StatOasis and not against any shareholder, director, officer, employee, contractor, agent, or representative personally.

Nothing in this section excludes or limits liability that applicable law does not permit to be excluded or limited, including liability arising from a person's own fraud, willful misconduct, or other conduct for which personal liability is imposed by law.

3. Eligibility

You must be at least 18 years old and have legal capacity to enter into a binding agreement to purchase paid Services or create an account.

If the age of majority where you live is higher than 18, you must have reached that age.

You may use the Services only in compliance with applicable law.

4. Educational and general research purposes only

StatOasis provides general, standardized educational material, quantitative research, market publications, model portfolios, trading signals, tools, and commentary.

The Services are not personalized investment, legal, accounting, or tax advice.

Nothing published by StatOasis should be understood as:

• a personalized recommendation to buy, sell, or hold a particular security, derivative, futures contract, option, currency, digital asset, or other financial instrument
• an assessment of whether a trade, strategy, portfolio, or investment is suitable for your individual circumstances
• a promise or guarantee of investment performance
• an offer to manage your assets
• an offer to execute trades for you
• custody of your money, securities, or trading account

StatOasis does not ask for or rely on your complete financial circumstances, investment objectives, tax situation, portfolio, risk tolerance, or liquidity needs when publishing its standardized research, model allocations, or signals.

Subscribers may receive the same or substantially the same research or model information as other subscribers, subject to ordinary content segmentation, language, access level, or presentation differences.

StatOasis is not registered with a securities or derivatives regulator to provide personalized investment advice or portfolio-management services.

You are responsible for deciding whether any information is appropriate for you and, where needed, for obtaining advice from a properly qualified professional who understands your circumstances.

5. Trading and investment risk

Trading and investing involve risk. You can lose some or all of the capital you commit.

Strategies involving futures, options, derivatives, leverage, short selling, concentrated positions, volatile markets, or other complex instruments can involve substantial risk and may produce losses greater or faster than expected.

You are solely responsible for:

• deciding whether to place a trade
• selecting your broker and account type
• determining position size and leverage
• understanding margin requirements
• monitoring positions
• setting risk limits
• considering liquidity, slippage, transaction costs, taxes, and execution quality
• confirming that a product or strategy is permitted and appropriate in your jurisdiction and account

Never trade money you cannot afford to lose.

6. Backtests, hypothetical results, and research limitations

Many StatOasis materials discuss backtests, simulations, hypothetical portfolios, historical studies, model allocations, research results, or strategies that were not traded exactly as presented with actual client money.

Hypothetical and backtested performance has important limitations.

Among other things:

• historical results do not predict future results
• a model can be overfit to historical data
• market structure, liquidity, volatility, correlations, costs, and participant behavior can change
• actual fills may differ materially from assumed fills
• commissions, bid-ask spreads, slippage, financing, borrow costs, taxes, contract rolls, data errors, and other implementation costs may reduce results
• a strategy may experience losses or drawdowns larger than those shown historically
• simulated results do not fully reflect the emotional, operational, and liquidity pressures of live trading
• data sources and software can contain errors

Where a study states assumptions, methodology, costs, benchmarks, or limitations, those disclosures form part of the interpretation of the results.

CFTC Rule 4.41 hypothetical performance disclosure

StatOasis is not registered with the U.S. Commodity Futures Trading Commission as a commodity trading advisor or commodity pool operator, does not manage client accounts, and does not solicit or accept funds for trading. The disclosure below is published voluntarily, in the form set out in CFTC Rule 4.41 (17 CFR 4.41), because StatOasis materials regularly present hypothetical and backtested results.

HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS, SOME OF WHICH ARE DESCRIBED BELOW. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN; IN FACT, THERE ARE FREQUENTLY SHARP DIFFERENCES BETWEEN HYPOTHETICAL PERFORMANCE RESULTS AND THE ACTUAL RESULTS SUBSEQUENTLY ACHIEVED BY ANY PARTICULAR TRADING PROGRAM.

ONE OF THE LIMITATIONS OF HYPOTHETICAL PERFORMANCE RESULTS IS THAT THEY ARE GENERALLY PREPARED WITH THE BENEFIT OF HINDSIGHT. IN ADDITION, HYPOTHETICAL TRADING DOES NOT INVOLVE FINANCIAL RISK, AND NO HYPOTHETICAL TRADING RECORD CAN COMPLETELY ACCOUNT FOR THE IMPACT OF FINANCIAL RISK IN ACTUAL TRADING. FOR EXAMPLE, THE ABILITY TO WITHSTAND LOSSES OR TO ADHERE TO A PARTICULAR TRADING PROGRAM IN SPITE OF TRADING LOSSES ARE MATERIAL POINTS WHICH CAN ALSO ADVERSELY AFFECT ACTUAL TRADING RESULTS.

THERE ARE NUMEROUS OTHER FACTORS RELATED TO THE MARKETS IN GENERAL OR TO THE IMPLEMENTATION OF ANY SPECIFIC TRADING PROGRAM WHICH CANNOT BE FULLY ACCOUNTED FOR IN THE PREPARATION OF HYPOTHETICAL PERFORMANCE RESULTS AND ALL OF WHICH CAN ADVERSELY AFFECT ACTUAL TRADING RESULTS.

This disclosure applies to every backtest, simulation, model portfolio, hypothetical allocation, and research result published by StatOasis, including those on this website, in the Overfit newsletter, in courses and books, and in any tool or simulator offered here.

7. No performance promises

StatOasis does not promise profits, income, financial independence, a specific rate of return, a maximum drawdown, or any other trading or investment outcome.

Past performance, hypothetical performance, testimonials, case studies, examples, and research results are not guarantees of future performance.

8. Types of Services

These Terms apply across the StatOasis business, including the following categories where offered.

Research, articles, newsletters, and books

Research and educational publications are provided for general information and may be updated, corrected, expanded, or withdrawn.

Algo Trading Masterclass and other courses

Courses provide educational material, demonstrations, workflows, examples, software instruction, code, and related resources. Access length, curriculum, bonuses, support, guarantees, and other product-specific terms are stated on the applicable offer or checkout page.

TAA Portfolios, model portfolios, allocations, and signals

These Services provide standardized research publications, model allocations, signals, or educational portfolio information. They are not individually constructed for your financial circumstances.

You are responsible for whether, when, and how to implement any published allocation or signal.

Community and membership services

Community or membership Services may include access to discussion areas, educational resources, updates, Q&A, tools, and other member-only content.

Digital products, downloads, code, indicators, and tools

Digital files, spreadsheets, scripts, indicators, code, templates, databases, calculators, and software-related products are licensed, not sold, except where an applicable product page expressly states otherwise.

Physical books and marketplace products

StatOasis may offer physical books or other products through third-party marketplaces, publishers, print-on-demand services, or fulfillment providers. Purchases made through those platforms may also be governed by the marketplace's terms, payment rules, delivery terms, return policies, and privacy practices.

9. Product-specific terms control

A product page, checkout page, order form, guarantee, subscription disclosure, or other written terms presented specifically for a Service may contain additional terms.

If a product-specific term directly conflicts with these general Terms, the product-specific term controls for that product to the extent of the conflict, unless applicable law requires otherwise.

10. Prices, currency, taxes, and payment

Prices are shown at the time of purchase and may change for future purchases.

The checkout page should identify the applicable currency. You are responsible for any currency-conversion fees, bank fees, taxes, duties, or other charges imposed by your bank, payment provider, marketplace, or government unless the checkout expressly states that StatOasis is collecting or absorbing them.

Payments may be processed by third-party payment providers. Their terms and privacy practices may also apply to the payment transaction.

You authorize StatOasis and its payment providers to charge the payment method you select for amounts you agree to pay, including recurring subscription charges where clearly disclosed before purchase.

11. Subscriptions and recurring billing

Some Services are sold as recurring subscriptions.

Before purchase, the applicable checkout or offer page should disclose the price, billing interval, and any material renewal or cancellation conditions.

Unless the offer states otherwise, a recurring subscription renews at the disclosed billing interval until cancelled.

You may cancel a subscription using the available account-management method or by contacting StatOasis when self-service cancellation is unavailable.

Cancellation stops future renewal charges after the effective cancellation date. It does not automatically create a refund for a billing period that has already begun unless:

• the applicable product guarantee says otherwise
• StatOasis expressly agrees to a refund
• applicable law requires a refund

Access after cancellation may continue through the end of a paid billing period where the applicable Service supports that model.

12. Refunds and guarantees

Refund eligibility is determined by the guarantee or refund policy presented for the specific product or offer at the time of purchase, together with any mandatory rights provided by applicable law.

Where a StatOasis offer includes a money-back guarantee, that guarantee forms part of these Terms for that purchase and controls over any inconsistent general refund language.

Except where a specific guarantee applies or applicable law requires otherwise, fees for digital products, services, subscriptions, memberships, or access periods already supplied are non-refundable.

Nothing in these Terms removes a cancellation, withdrawal, refund, repair, replacement, or other consumer right that cannot legally be waived.

EEA and UK digital-content and distance-selling rights

If mandatory consumer law in your jurisdiction gives you a cooling-off or withdrawal right, that right applies according to law.

For digital content or services supplied immediately, StatOasis may ask you to expressly request immediate performance and, where permitted by law, acknowledge that beginning delivery may affect or end a statutory withdrawal right. Any such acknowledgment must be presented at checkout or before delivery when required.

13. Order confirmation

After a paid online purchase, StatOasis or the applicable payment or marketplace provider may send an electronic confirmation containing transaction and product information.

You are responsible for providing a working email address and retaining your receipt, confirmation, and applicable product terms.

14. Accounts and access

If a Service requires an account, you are responsible for:

• providing accurate account information
• maintaining the confidentiality of login credentials
• taking reasonable steps to prevent unauthorized use
• notifying StatOasis if you believe your account has been compromised

Unless expressly permitted, an account, course license, membership, subscription, or paid download is for the registered customer's personal use and may not be shared with others.

15. Community rules

When participating in a StatOasis community, you agree not to:

• harass, threaten, abuse, or impersonate others
• publish unlawful, defamatory, fraudulent, or deliberately misleading material
• post another person's private information without permission
• distribute malware, spam, or malicious links
• scrape member information
• promote unauthorized commercial solicitations
• redistribute paid StatOasis content
• use the community to coordinate piracy or account sharing

StatOasis may moderate, remove, restrict, or preserve content where reasonably necessary to operate the community, enforce these Terms, protect users, or comply with law.

16. User content

You retain ownership of original content you submit to a StatOasis community or interactive Service, subject to any rights you grant to third-party platforms you use.

By submitting content to a StatOasis-operated community or Service, you grant StatOasis a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and technically process that content only as reasonably necessary to operate, moderate, promote the functioning of, and improve the relevant Service.

You represent that you have the rights needed to submit your content and that doing so does not violate another person's rights or applicable law.

17. Intellectual property

Unless otherwise stated, StatOasis and its licensors own the copyrights, trademarks, branding, course materials, research, databases, reports, graphics, videos, code, templates, indicators, downloads, and other proprietary materials made available through the Services.

Subject to these Terms and payment of applicable fees, StatOasis grants you a limited, personal, non-exclusive, non-transferable, revocable license to use purchased or member-only materials for your own education, research, and personal trading or investing activities.

You may not, without written permission:

• resell or sublicense StatOasis materials
• publish paid materials publicly
• upload or distribute course libraries, research databases, or paid downloads to file-sharing or piracy services
• share paid account credentials
• reproduce a substantial portion of paid material to create a competing course, database, publication, or commercial product
• remove copyright, trademark, or attribution notices
• falsely imply that StatOasis endorses, sponsors, or is affiliated with your product or business

Code or software released under a separate open-source or third-party license is governed by that license.

18. Software, code, spreadsheets, indicators, and tools

Code, scripts, spreadsheets, indicators, calculators, templates, databases, and software examples may contain errors and may behave differently depending on platform version, market data, broker settings, account settings, or user modifications.

You are responsible for independently testing any code or tool before using it with real money.

You should use simulation, paper trading, code review, position limits, and other appropriate controls before deploying trading logic in a live account.

StatOasis is not responsible for losses caused by incorrect installation, modification, integration, broker behavior, market data, third-party software, platform changes, or use outside the documented context.

19. Third-party software and platforms

StatOasis materials may discuss or integrate with third-party products, brokers, software, data vendors, AI tools, charting systems, marketplaces, payment services, community platforms, or other external services.

Third-party services are controlled by their respective providers and may change without notice.

StatOasis does not guarantee the availability, accuracy, security, pricing, features, compatibility, or continued operation of third-party services.

Your use of a third-party service is also subject to that provider's terms and privacy policy.

20. Affiliate relationships

StatOasis may participate in affiliate or referral programs.

If you purchase a product or service through certain links, StatOasis may receive compensation, generally without increasing the price you pay.

Where appropriate, material affiliate relationships will also be disclosed near the relevant recommendation, review, email, article, or link.

Affiliate compensation does not guarantee that a product is appropriate for you.

21. Research corrections and updates

StatOasis aims to publish careful research, but errors can occur in data, calculations, code, charts, assumptions, text, or interpretation.

We may correct, revise, update, replace, or withdraw content when we identify an issue or when new information becomes available.

We are not obligated to update every historical article, video, code example, or research result indefinitely.

22. Service availability and changes

We may add, modify, suspend, replace, or discontinue features, content, software integrations, communities, products, or Services.

For paid Services, we will not intentionally remove a material paid entitlement in a way that violates a specific written guarantee or mandatory consumer law.

Temporary interruptions may occur because of maintenance, security incidents, internet failures, third-party outages, software changes, or events outside our reasonable control.

23. Prohibited use

You may not use the Services to:

• violate applicable law
• infringe intellectual-property or privacy rights
• gain unauthorized access to systems or accounts
• interfere with the security or operation of the Services
• distribute malware or malicious code
• scrape, copy, or extract protected member-only content at scale without permission
• conduct fraud, impersonation, spam, or abusive activity
• circumvent access controls, paywalls, license restrictions, or security measures
• facilitate piracy or unauthorized redistribution

24. Suspension and termination

StatOasis may suspend or terminate access to a Service if we reasonably believe that you:

• materially violated these Terms
• engaged in fraud, abuse, piracy, credential sharing, harassment, or unlawful conduct
• created a security risk
• failed to pay an amount properly due

Where reasonable, we may provide notice and an opportunity to resolve the issue before termination.

Termination does not affect rights or obligations that by their nature should continue, including payment obligations already incurred, intellectual-property restrictions, disclaimers, and limitations of liability.

Any statutory refund or consumer right that cannot be waived remains unaffected.

25. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

StatOasis does not warrant that:

• the Services will be uninterrupted or error-free
• research, market data, code, calculations, or third-party data will always be accurate or complete
• a strategy or portfolio will perform as expected
• any particular software or third-party integration will remain compatible
• the Services will meet every user's individual needs

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.

26. Limitation of liability

To the maximum extent permitted by applicable law, StatOasis and its shareholders, directors, officers, employees, contractors, agents, representatives, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from or relating to the Services, including lost profits, trading losses, lost opportunities, loss of data, or business interruption.

You remain solely responsible for trading and investment decisions made in reliance on educational material, research, model allocations, signals, tools, code, or community discussions.

To the maximum extent permitted by law, StatOasis's aggregate liability arising from a paid Service will not exceed the greater of:

1. the amount you paid StatOasis for the specific Service giving rise to the claim during the 12 months before the event giving rise to liability, or
2. CAD $100.

This limitation does not apply to liability that cannot legally be excluded or limited.

27. Indemnity for misuse

To the extent permitted by law, you agree to indemnify and hold StatOasis and its shareholders, directors, officers, employees, contractors, agents, and representatives harmless from third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, your infringement of another person's rights, or your material breach of these Terms.

This section does not require you to indemnify any person or entity for that person's or entity's own fraud, willful misconduct, or liability that cannot legally be shifted to you.

28. Privacy

Use of personal information in connection with the Services is governed by the StatOasis Privacy Policy and applicable privacy choices presented on the website.

29. Electronic communications

You agree that transaction confirmations, account notices, policy updates, receipts, and other communications relating to the Services may be provided electronically where permitted by law.

Marketing communications remain subject to applicable consent and unsubscribe requirements.

30. Changes to these Terms

We may update these Terms as the business, Services, or applicable law changes.

The date at the top identifies the current version.

For material changes affecting an active paid subscription, we will provide notice where required by law or where the nature of the change reasonably calls for advance notice.

Changes do not retroactively remove a product-specific guarantee or mandatory consumer right that applied to an earlier purchase.

31. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.

Subject to mandatory consumer-protection and jurisdictional rights that apply where you live, disputes relating to these Terms or the Services will be brought before a court of competent jurisdiction in Ontario, Canada.

Nothing in this section deprives a consumer of a non-waivable right or protection provided by the law of the consumer's jurisdiction.

32. Informal dispute resolution

Before starting formal proceedings, we encourage you to contact StatOasis with a clear description of the issue so we can attempt to resolve it.

This does not shorten or waive a legal limitation period or prevent either party from seeking urgent relief where necessary.

33. Severability

If a court finds part of these Terms invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

34. No waiver

A delay or failure by StatOasis to enforce a provision does not waive the right to enforce it later.

35. Assignment

You may not transfer a paid account, license, membership, or your rights under these Terms without StatOasis's written consent.

StatOasis may transfer its rights and obligations as part of a legitimate reorganization, merger, sale of assets, or transfer of the business, subject to applicable law.

36. Entire agreement

These Terms, the Privacy Policy, and any product-specific terms or guarantees presented for the Service you purchase form the agreement between you and StatOasis regarding that Service.

They replace prior general terms on the same subject, but they do not cancel product-specific rights or guarantees that remain in force for an earlier purchase unless lawfully amended.
